By entering into this contest, I accept the terms and conditions and set forth in these Official Rules. I confirm I am at least 18 years old and have reached the age of majority in Ontario, my province of residence, at the time of opt-in. By entering the contest, I agree to sign up to receive newsletters and special offers from The GIST, PWHL and SharkNinja (collectively, the “Associated Companies”). The Associated Companies have provided prizes to the contest but only The GIST Ltd. (the “Sponsor”) is sponsoring the contest and responsible for operating the contest. The contest is subject to federal, provincial, municipal, and local laws and regulations and is void where prohibited.

Eligibility: The Contest is open to all residents of Ontario who have reached the age of majority at the time of entry, and have a valid email address. The winner must be able to travel to Toronto to accept the prize. Travel and accommodations are not part of the prize. Employees, independent contractors, interns, officers, directors, and agents of Sponsor and the associated companies are not eligible to enter.

Sponsor: The contest is sponsored by The GIST Ltd. at 50 Camden St, 703, Toronto, ON, M5V3N1.

Agreement to Official Rules: By entering the contest, you indicate your full and unconditional agreement to, and acceptance of, (a) these Official Rules and (b) Sponsor’s decisions, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.

Entry Period: The contest begins at 12:00am ET on April 28, 2025. Entries submitted before or after the Entry Period will not be eligible. Sponsor’s computer is the official timekeeping device for the contest. The contest will end on May 3, 2025 at 11:59pm ET.

How to Enter: No purchase necessary. At the beginning of the Entry Period, you may enter the contest by visiting the contest site ca.thegistsports.com/contest/pwhl-and-sharkninja-contest (the “contest Site”) and completing the contest entry form. There is a limit of one (1) entry per person/email address. Additional entries per person/email address will not be acknowledged. The use of an agency or any automated system to enter is strictly prohibited and Sponsor reserves the right to disqualify any entries received through such methods, as determined by Sponsor, in its sole discretion.

By entering the Giveaway in accordance with the entry process described above, you will be registering to receive email communication from the Associated Companies and agreeing that your registration and any other information collected in connection with the contest may be used by the Associated Companies in accordance with their Privacy Policy, a current copy of which can be found at https://www.thegistsports.com/terms-of-service/

Drawing: After the Entry Period, on or about May 5, 2025, Sponsor will select potential winner(s) in a random drawing of all entries received. The odds of being selected depend on the number of entries received.

Notification and Requirements of Potential Winners: Sponsor will attempt to notify potential winner(s) within two (2) business days of the drawing by email. The selected entrant must reply by email within one (1) business days of notification and correctly answer a time-limited mathematical skill-testing question to be administered by email.

If a potential winner does not respond within one (1) calendar days after the notice is sent, the Sponsor will select an alternate potential winner in his/her place at random from all remaining entries received, and administer a time-limited mathematical skill-testing question by email. Only three (3) alternate potential winners will be contacted. Except where prohibited, a potential winner may be required to complete and return an affidavit of eligibility and liability/publicity release. If a potential winner fails to sign and return these documents within the required time period, an alternate potential winner may be selected in his/her place in a random drawing of all remaining entries received. Only three (3) alternate potential winners may be contacted.

Description of Grand Prize:

Each Prize Winner will receive the following:

  • Two private suite tickets for a Toronto Sceptres home game (the “Game”) at Coca-Cola Coliseum (19 Nunavut Rd, Toronto, ON M6K 3C3), with an approximate retail value of $90.00 CAD per ticket ($180.00 CAD total).

Prizing Acceptance: The Contest prize must be accepted as awarded. A prize may not be sold or transferred and is not convertible to cash. All amounts are in Canadian dollars. The Sponsor reserves the right at any time to substitute a prize or a component thereof for any reason with a prize or a prize component of equal or greater value. Odds of being selected depend on the total number of eligible entries received by the Contest Closing Date.

General Conditions: In the event that the operation, security, or administration of the contest is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, Sponsor may, in its sole discretion, either: (a) suspend the contest to address the impairment and then resume the contest in a manner that best conforms to the spirit of these Official Rules; or (b) award the prize(s) at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure by Sponsor to enforce any term of these Official Rules shall not constitute a waiver of that provision. Proof of sending any communication to Sponsor by mail shall not be deemed proof of receipt of that communication by Sponsor. In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the participant. The “authorized account holder” is the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address.

General Liability Release/Force Majeure: Entrants agree that the Associated Companies and each of their respective council members, officers, directors, governors, partners, partnerships, principals, employees, volunteers, representatives, agents, affiliates, related entities, successors and assigns (the “Released Parties”) (A) shall not be responsible or liable for, and are hereby released and held harmless from, any and all costs, injuries, losses or damages of any kind, due in whole or in part, directly or indirectly, to participation in the Contest or any Contest-related activity or from entrants’ acceptance, receipt, possession, use and/or misuse of any prize, and (B) have not made any warranty, representation or guarantee of any kind, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose, and disclaim any implied warranty. By entering the Contest, each entrant hereby releases the Released Parties from any claim that may arise from an unauthorized party’s use of the entrant’s personal information or entry for any purpose. Each entrant further releases the Released Parties from any claim for royalties, damages or other relief and from any claims of authorship, copyright, moral rights or personality rights related to the entry or entries of the entrant or the use thereof. The Released Parties assume no responsibility for any damage to an entrant’s or any other person’s computer system or wireless phone which is occasioned by accessing the Website or otherwise participating in the Contest, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, the Released Parties are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen entries, email or mail or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated entries will be accepted. The Sponsor reserves the right to modify, extend, suspend, or terminate the Contest if it determines, in its sole discretion, that the Contest is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Contest. If the Contest is terminated or suspended before the designated Contest Closing Date, notice thereof will be posted on the Sponsor Instagram account and the Sponsor will (if possible) select winner(s) in a random drawing or drawings from all eligible, non-suspect entries legitimately received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Sponsor reserves the right to correct clerical or typographical errors in promotional materials or these Official Rules.

Release and Limitations of Liability: By participating in the contest, you agree to release and hold harmless the Released Parties from and against any claim or cause of action arising out of participation in the contest or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the contest; (b) technical errors related to computers, servers, providers, or telephone, or network lines; (c) printing errors; (d) lost, late, postage due, misdirected, or undeliverable mail; (e) errors in the administration of the contest or the processing of entries; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the contest or receipt or use of any prize. You further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the contest, and in no event shall the Released Parties be liable for attorney’s fees. You waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

Privacy and Use of Information Submitted; Publicity: Any information you submit as part of the contest will be used for purposes of this contest and treated in accordance with Sponsor’s Privacy Policy as otherwise set forth in these Official Rules. Except where prohibited, participation in the contest constitutes an entrant’s consent to Sponsor’s use of his/her name, likeness, voice, opinions, biographical information, and state of residence for promotional purposes in any media without further payment or consideration.

Use of Entrant Information: By entering the contest, you acknowledge and agree that Sponsor and the participating companies PWHL and SharkNinja will use Entrant’s information, including, without limitation, your email address, phone number, mailing address, or any other contact information provided for general solicitation, marketing, or other business or promotional activities in connection with the services and products provided by Sponsor or the participating companies. You may at any time revoke the use of such information by providing written notice to Sponsor and each other participating company using the following addresses or by responding to a marketing email using the unsubscribe link provided in the email. Please note that your opt-out preference will apply to marketing communication and may not apply to transactional communication including those associated with your entry.

Disputes: Except where prohibited, you agree that any and all disputes, claims and causes of action arising out of, or connected with, the contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Toronto, ON. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, your rights and obligations, or the rights and obligations of Sponsor in connection with the contest, shall be governed by, and construed in accordance with, the laws of ON, without giving effect to any choice of law or conflict of law rules (whether of ON or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than ON.

Third Party Platforms: If this contest is hosted, administered, or operated on a third party platform, including without limitation a social media platform (e.g. Facebook or Twitter) (“Third Party Platform”), then by participating in this contest, entrants hereby release and agree to comply with all rules and policies set forth by such Third Party Platform and to hold harmless such Third Party Platform from any and all liability, loss or damages arising from or in connection with the awarding, receipt, and/or use or misuse of prizes or participation in any prize related activities. Unless otherwise stated to the contrary in these Official Rules, this contest is not sponsored, endorsed or administered by, or associated with, any Third Party Platform.
