Sweepstakes Rules (“Sweepstakes Rules”)

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR ODDS OF WINNING.

By entering into this Sweepstakes, I accept the terms and conditions and set forth in these Official Rules. I confirm I am at least 18 years old and have reached the age of majority in my jurisdiction of residence at the time of opt-in (19 in Alabama and Nebraska; 21 in Mississippi). By entering the sweepstakes, I agree to sign up to receive newsletters and special offers from The GIST Ltd. The Gist Ltd. and Travel Texas (collectively, the “Associated Companies”) have provided prizes to the Sweepstakes but only The GIST Ltd. is sponsoring the sweepstakes and responsible for operating the Sweepstakes. No Purchase Necessary. A Purchase Will Not Increase My Chances of Winning. The Sweepstakes is subject to federal, state, municipal, and local laws and regulations and is void where prohibited. (New Jersey Notice: This Sweepstakes is not void in New Jersey).

  1. Eligibility
  1. Texas Getaway Sweepstakes (the “Sweepstakes”) is open to anyone who is at least eighteen (18) years of age and has reached the age of majority in their jurisdiction of residence at the time of opt-in (19 in Alabama and Nebraska; 21 in Mississippi) and a resident of the United States of America and the District of Columbia (excluding residents of Texas, Alaska, Hawaii, Rhode Island, overseas military installations, Puerto Rico, and other U.S. Territories) and has a valid email address. This Sweepstakes is not open to employees, or immediate family or household members of employees, of Sponsor, Administrator, any other entity involved in the development, production, implementation, administration, judging or fulfillment of this Sweepstakes, or their respective agents, vendors, parent companies, affiliates or subsidiaries( individually, a "Promoter"; collectively, the "Promoters). Final eligibility for the award of any Prize is subject to eligibility verification. All entries must be submitted and received by the end of the Sweepstakes Entry Period in order to participate. The administrator reserves the right to require proof of eligibility.

  1. The contest is sponsored by The GIST Ltd. at 545 King Street West, Toronto, ON, M5V 1M1.
  1. Agreement to Official Rules
  1. By entering the Sweepstakes, you indicate your full and unconditional agreement to, and acceptance of, (a) these Official Rules and (b) Sponsor’s decisions, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.
  1. Entry Period
  1. The Sweepstakes begins on January 7, 2026 at 8:00am ET (“Entry Period”). Entries submitted before or after the Entry Period will not be eligible. Sponsor’s computer is the official timekeeping device for the Sweepstakes. The Sweepstakes will end on January 21, 2026 at 11:59pm ET.
  1. How to Enter
  1. During the Entry Period, you may enter the Sweepstakes by visiting the sweepstakes site www.thegistsports.com/contest/texasgetawaysweeps (the “Sweepstakes Site”) and completing the Sweepstakes entry form. There is a limit of one (1) entry per person/email address, with up to ten (10) bonus entries offered per person if the entrant submits a link to their Travel Texas Dream Trip Builder itinerary built via the website https://www.traveltexas.com/tripbuilder/. To receive the ten (10 bonus entries, after building your trip at https://www.traveltexas.com/tripbuilder/ please use the share functionality on the site to copy a link of your trip and paste this link in your submission at www.thegistsports.com/contest/texasgetawaysweeps. Submissions included with a valid trip builder link will receive ten (10) additional bonus entries. Additional entries per person/email address will not be acknowledged. The use of an agency or any automated system to enter is strictly prohibited and Sponsor reserves the right to disqualify any entries received through such methods, as determined by Sponsor, in its sole discretion.
  1. By entering the Giveaway in accordance with the entry process described above, you will be registering to receive email communication from The GIST and agreeing that your registration and any other information collected in connection with the Sweepstakes may be used by the following partners: The GIST. in accordance with their Privacy Policy, a current copy of which can be found at https://www.thegistsports.com/terms-of-service/.
  1. Drawing
  1. After the Entry Period, on or about January 22, 2026, Sponsor will select a potential winner in a random drawing of all entries received. The odds of winning are not calculable in advance and depend on the number of eligible entries received.
  1. Notification and Requirements of Potential Winners
  1. Sponsor will attempt to notify potential winner within five (5) business days of the drawing by email. If a potential winner does not respond within two (2) calendar days after the notice is sent, the Sponsor will select an alternate potential winner in his/her place at random from all remaining entries received. Only three (3) alternate potential winners will be contacted.
  1. Except where prohibited, a potential winner may be required to complete and return an affidavit of eligibility and liability/publicity release. If a potential winner fails to sign and return these documents within the required time period (within 48 hours of receipt), an alternate potential winner may be selected in his/her place in a random drawing of all remaining entries received. Only three (3) alternate potential winners may be contacted. The confirmed winner will be required to submit a completed W-9 form to collect tax info and signature.
  1. Prize(s): One (1) grand prize will be awarded and one (1) winner will be chosen.
  1. Description of the Prize
  1. A $20,000 USD voucher redeemable for: One (1) four-day all-inclusive trip for one (1) winner and two (2) guests. The trip will be managed by Indus Travel and include airfare, accommodations, local activities, food and incidentals with a maximum value of $20,000 USD. Travel must be booked before December 31, 2026 at 11:59pm. Retail Value (ARV): $20,000 USD. Winners are responsible for all applicable federal, state, and local taxes. Additional expenses not specified above are the sole responsibility of each Winner. Sponsor is not liable for any expenses incurred as a consequence of travel delays or any weather issues that prevent the Winner from traveling or accepting the Prize, in which event any missed portion of the Prize is forfeited in its entirety and no substitution will be provided. The Prize is non-transferable, non-exchangeable, has no cash value, and cannot be substituted or replaced at Winner’s option. Sponsor reserves the right to substitute alternative prizes of greater or equal value if for any reason the prize becomes unavailable. Any difference between the stated approximate retail value and the actual value will not be awarded. Winner is responsible for all applicable federal, state, and local taxes.
  1. General Conditions
  1. In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, Sponsor may, in its sole discretion, either: (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; or (b) award the prize(s) at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure by Sponsor to enforce any term of these Official Rules shall not constitute a waiver of that provision. Proof of sending any communication to Sponsor by mail shall not be deemed proof of receipt of that communication by Sponsor. In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the participant. The “authorized account holder” is the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address.
  1. Release and Limitations of Liability
  1. By participating in this Sweepstakes, entrants agree the Sweepstakes Entities and their respective parents, affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment and marketing agencies, website providers, web masters and their respective officers, directors, employees, representatives, designees and agents (“Released Parties”) are not responsible for lost, late, incomplete, stolen, misdirected, postage due, or undeliverable email notifications or postal mail; or for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections or availability; or garbled, corrupt or jumbled transmissions, service provider/Internet/Website/UseNet accessibility, availability or traffic congestion; or any technical, mechanical, printing, or typographical or other error; or unauthorized human intervention; or inaccurate capture of registration information; or the failure to capture, or loss of, any such information. The Released Parties are not responsible for any incorrect or inaccurate information, whether caused by any platform users, tampering, hacking or by any of the equipment or programming associated with or utilized in the Sweepstakes and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft or destruction or unauthorized access to the platform or any Sweepstakes-related website(s). Released Parties are not responsible for any injury or damage, whether personal or property, to participants or to any person’s computer related to or resulting from participating in the Sweepstakes and/or accepting the prize. Released Parties shall not be responsible or liable for entries entered by any automated computer, program, mechanism or device; for any entries in excess of the stated limit; or for entries that are late, forged, lost, misplaced, misdirected, tampered with, incomplete, deleted, damaged, garbled or otherwise not in compliance with the Official Rules, and all such entries will, at Sponsor’s sole discretion, be disqualified.
  1. If, for any reason, an entry is confirmed to have been erroneously deleted, lost or otherwise destroyed, corrupted or for any other reason not accepted as an entry in the Sweepstakes, entrant’s sole remedy is to enter the Sweepstakes again to receive another entry. If for any reason, Sponsor believes the Sweepstakes is not capable of running as planned, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes and/or proceed with the Sweepstakes, including the selection of the winner in a manner it deems fair and reasonable. This Sweepstakes is subject to all federal, state, and local laws and regulations.
  1. By entering the Sweepstakes, each entrant agrees: (i) to be bound by these Official Rules and by all applicable laws and by the decisions of Sponsor, which shall be binding and final; (ii) to waive any rights to claim ambiguity with respect to these Official Rules; (iii) to waive all of his or her rights to bring any claim, action or proceeding against any of the Released Parties in connection with the Sweepstakes; and (iv) to forever and irrevocably agree to release, defend, indemnify and hold harmless each of the Released Parties. from any and all claims, lawsuits, judgments, causes of action, proceedings, demands, fines, penalties, liability, costs and expenses (including, without limitation, reasonable outside attorneys’ fees) that may arise in connection with: (a) the Sweepstakes, including, but not limited to, any Sweepstakes-related activity or element thereof, and the entrant’s entries, participation or inability to participate in the Sweepstakes; (b) the violation of any third-party privacy, personal, publicity or proprietary rights; (c) typographical or printing errors in these Official Rules or any Sweepstakes materials; (d) acceptance, receipt, delivery of, possession, defects in, use, nonuse, misuse, inability to use, loss, damage, destruction, negligence or willful misconduct in connection with the use of the prize (or any component thereof); (e) change in the prizing (or any components thereof) due to unavailability or due to reasons beyond Sponsor’s control, including, but not limited to, acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not such action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened or actual terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot or other cause beyond any of the Released Parties’ control, or as otherwise permitted in these Official Rules; (f) any interruptions in or postponement, cancellation or modification of the Sweepstakes; (g) human error; (h) incorrect or inaccurate transcription, receipt or transmission entry (including, without limitation, registration information or any parts thereof); (i) any technical malfunctions or unavailability of the platform or any telephone network, computer system, computer online system, mobile device, computer timing and/or dating mechanism, computer equipment, software, or Internet service provider, or mail service utilized by any of the Released Parties or by an entrant; and (j) interruption or inability to access the Sweepstakes, the platform or any other Sweepstakes-related websites or any online service via the Internet due to hardware or software compatibility problems. All entrants understand and agree that all rights under Section 1542 of the Civil Code of Delaware (“Section 1542”) and any similar law of any state, territory, or country that may be applicable with respect to the foregoing release are hereby expressly and forever waived. All participating entrants acknowledge that Section 1542 provides that: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, AND THAT IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.
  1. Without limiting the foregoing, everything regarding this Sweepstakes, including the prize components, are provided “as is” without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose or non-infringement. Some jurisdictions may not allow the limitations or exclusions of liability for incidental or consequential damages or exclusions of implied warranties, therefore some of the above limitations or exclusions may not apply. Check local laws for any restrictions or limitations regarding these limitations or exclusions.
  1. Privacy and Use of Information Submitted; Publicity
  1. Any information you submit as part of the Sweepstakes will be used for purposes of this Sweepstakes and treated in accordance with Sponsor’s Privacy Policy as otherwise set forth in these Official Rules. Except where prohibited, participation in the Sweepstakes constitutes an entrant’s consent to Sponsor’s use of his/her name, likeness, voice, opinions, biographical information, and state of residence for promotional purposes in any media without further payment or consideration.
  1. Use of Entrant Information
  1. By entering the Sweepstakes, you acknowledge and agree that Sponsor and the participating companies The GIST will use Entrant’s information, including, without limitation, your email address, phone number, mailing address, or any other contact information provided for general solicitation, marketing, or other business or promotional activities in connection with the services and products provided by Sponsor or the participating companies. You may at any time revoke the use of such information by providing written notice to Sponsor and each other participating company using the following addresses or by responding to a marketing email using the unsubscribe link provided in the email. Please note that your opt-out preference will apply to marketing communication and may not apply to transactional communication including those associated with your entry.
  1. Disputes
  1. This Sweepstakes is governed by, and will be construed in accordance with, the laws of the State of Delaware, excluding its conflicts of law rules. The parties specifically disclaim the applicability of the United Nations Convention on Contracts for the International Sale of Goods to this Agreement. The forum and venue for any dispute shall be in the appropriate state courts in Delaware, or the United States District Court for the District of Delaware. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential or incidental damages or have damages multiplied or otherwise increased, including attorneys’ fees or other such related costs of bringing a claim, or to rescind this agreement or seek injunctive or any other equitable relief. Entrants agree that the rights and obligations of any entrant and/or Sweepstakes Entities and/or any other party shall be resolved individually, without resort to any form of class action.
  1. Third Party Platforms
  1. If this Sweepstakes is hosted, administered, or operated on a third party platform, including without limitation a social media platform (e.g. Facebook or Twitter) (“Third Party Platform”), then by participating in this Sweepstakes, entrants hereby release and agree to comply with all rules and policies set forth by such Third Party Platform and to hold harmless such Third Party Platform from any and all liability, loss or damages arising from or in connection with the awarding, receipt, and/or use or misuse of prizes or participation in any prize related activities. Unless otherwise stated to the contrary in these Official Rules, this Sweepstakes is not sponsored, endorsed or administered by, or associated with, any Third Party Platform.
  1. Severability: If any provision of these Sweepstakes Rules is held to be invalid or unenforceable under applicable law, then such provision shall be construed, limited, modified or, if necessary, severed to the extent necessary to eliminate its invalidity or unenforceability, without in any way affecting the remaining parts of these Sweepstakes Rules.
